The IIM Web Site

Thank you for accessing www.ioim.org.uk (the "Site"). Please read these terms and conditions (the "Terms") carefully. They apply to your use of the Site.

This Site is owned and operated by the Institute of Interim Management Ltd ("IIM"), a company limited by guarantee, registered in England and Wales (company number 04589083) on behalf of itself and its wholly owned subsidiary IOIM Limited ("IOIM") registered in England and Wales (company number 0448048). The registered office of both IIM and IOIM is Dolphins, Elmstead Road, West Byfleet, Weybridge, Surrey KT14 6JB.

IOIM is registered for VAT with the registration number GB 794 3782 77 . Both IIM and IOIM are registered for the purposes of the Data Protection Act 1998, with the registration numbers PZ8359944 and PZ8360040 respectively.

Use of the Site/Password Security

2.1

By using the Site, you signify your acceptance of these Terms in consideration of which we will provide you with access. From time to time we may amend the Terms. Accordingly, please continue to review the Terms whenever accessing or using the Site. By continuing to use the Site after any such amendments have been made you are agreeing to be bound by these Terms. If at any time you do not wish to accept them, you should not use the Site.

2.2

You will have access to most areas of the Site without having to go through any registration process. However, certain areas of the Site are only available to users who have been provided with a password. If IIM provides you with a password it is your responsibility to keep it confidential and secure, and not to divulge it to any third party. You must notify IIM immediately if you suspect any unauthorised use of your password.

Content

3.1

While we have endeavoured to ensure the accuracy of the information accessed via the Site, IIM does not guarantee or give any warranty as to the accuracy, timeliness or completeness of any information or material on the Site.

3.2

Web sites or pages to which the Site is linked are for information only and have not been reviewed by IIM. IIM has no responsibility for the content of these web sites, and accepts no responsibility or liability for any losses or penalties whatsoever that may be incurred as a result of any linking to any location on any linked web sites. Please refer to the terms of use on such web sites.

All materials on the Site including (but not limited to) text, content, software, video, music, sound, graphics, photographs, illustrations, artwork, photographs, names, logos, trade marks, and other material ("Content") are protected by copyright, trade marks and/or other proprietary rights. The Content includes both content owned or controlled by the IIM, and content owned or controlled by third parties and licensed to the IIM. All individual articles, reports, and other elements making up the Site may be copyright works. You agree to abide by all additional copyright notices or restrictions contained in the Site.

You may not use IIM's trademarks, logos or other promotional images, or trade names without IIM's consent and you acknowledge that you have no ownership rights in or to any of those names, logos or other promotional images, and marks. You agree to notify the IIM in writing promptly upon becoming aware of any unauthorised use of those names, logos or other promotional images, and marks.

You agree to notify the IIM in writing promptly upon becoming aware of any unauthorised access to or use of the Site by any party or of any claim that the Site or any of the contents of the Site infringes any copyright, trade mark, or other rights of any party.

3.6

You acquire no rights or licences in or to the Site and/or the Content other than the limited right to use the Site in accordance with these Terms. Other than as set out in this section you may not copy, reproduce, recompile, decompile, disassemble, reverse engineer, distribute, publish, display, perform, modify, adapt, upload to create derivative works from, transmit, or in any other way exploit any part of the Site. Download is only permitted on the basis that: (i) you make no more than one (1) printed copy of such download and no further copies of such printed copy are made; (ii) you make only personal, non-commercial use of such download and/or printed copy; and (iii) you retain on such download and/or printed copy all copyright notices and shall remain bound by the terms of such wording and notices. Additionally, you may not offer for sale or sell or distribute over any other medium (including distribution by over-the-air television or radio broadcast or distribution on a computer network) the Content or any part thereof. You may not make any part of the Site available as part of another web site, whether by hyperlink framing on the internet or otherwise without IIM's prior agreement in writing (see clause 8.1 hereof). The Site and the information contained therein may not be used to construct a database of any kind, nor may the Site be stored (in its entirety or in any part) in databases for access by you or any third party or to distribute any database web sites containing all or part of the Site.

Limitation of Liability

4.1

The Site and the Content are provided on an "as is", "available basis" excluding any warranties of any kind, either express or implied, to the fullest extent permissible pursuant to applicable law including (but not limited to) the exclusion of warranties of title, merchantability, satisfactory quality, fitness for a particular purpose and non-infringement of proprietary or third party rights. IIM accepts no responsibility or liability for functions contained on the Site and makes no warranties that the Site will operate uninterrupted or error-free or that defects will be corrected. Please note that some jurisdictions do not allow the exclusion of implied warranties, so some or all of the above exclusions may not apply to you.

4.2

IIM does not warrant that the Site is compatible with your computer equipment or that the Site or its server is free of errors or viruses, cancel bots, worms or Trojan Horses. IIM is not liable for any damage you may suffer as a result of such destructive features. IIM shall not be held responsible for Content provided by third parties and is also not responsible for the reliability or continued availability of the telephone lines and equipment you use to access the Site.

4.3

You accept that IIM has the right to change the content or technical specifications of any aspect of the Site at any time at its sole discretion. You further accept that such changes may result in your being unable to access the Site.

4.4

You acknowledge that your use of the Site, including the Content, is at your own risk. If you are dissatisfied with the Site, the Terms or any or the Content your sole remedy is to discontinue use of the Site. IIM has no liability for the Site or any Content.

4.5

You agree to indemnify, defend and hold harmless IIM, its employees, representatives and agents, from any claims, actions, demands or other proceedings brought against IIM, its employees, representatives and agents by a third party arising out of (i) your use of the Site; (ii) any breach by you of these Terms (iii) any deletion, additions or alteration to, or any unauthorised use by you, of the Site and/or any Content.

4.6

You agree to pay IIM, its employees, representatives and agents all costs, damages and expenses (including without limitation reasonable legal costs) awarded against any of them or otherwise incurred by any of them in connection with any such third party claims, suit, action or proceedings arising out of such third party claim.

4.7

In no event will IIM be liable for any loss, including without limitation indirect or consequential loss, or any damages arising from loss of use, data or profits (which includes, without limitation, loss of business revenue, loss of anticipated savings and wasted expenditure) whether in contact, tort or otherwise, arising out of or in connection with your use of the Site and/or any of the content.

4.8

Nothing in these Terms affects any statutory rights you, or any third party, may have as a consumer.

Use of data

5.1

IIM collects and processes personal data from users of this Site in order to facilitate their use of certain services. Details of how IIM uses personal data can be found in our separate Privacy Policy .

Events beyond our Control

6.1

IIM will not be responsible for any breach of these Terms caused by circumstances beyond its control.

Applicable laws

7.1

The Site is not directed at any person in any jurisdiction where for any reason the publication or availability of the Site or Content is prohibited. Those in respect of whom such prohibitions apply must not access the Site. IIM does not represent that either the Site or the Content are appropriate for use or permitted by local laws in all jurisdictions. Those who access the Site do so on their own initiative and risk, and are responsible for compliance with applicable local laws or regulations; legal advice should be sought in cases of doubt.

7.2

The Terms are governed by the laws of England and Wales and the parties submit to the exclusive jurisdiction of the English courts.
